Sub: Update on Acquisition
Ref: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’)
With reference to the captioned subject and further to our letter dated February 10, 2025, we hereby inform that the Company has today i.e. on February 11, 2025 completed the execution of the Share Purchase Agreement for acquisition of 100% of the Equity Shares and 100% of 0.01% Optionally Convertible Non-Cumulative Redeemable Preference Shares of Mahananda Spa and Resorts Private Limited (‘MSRPL’) and the existing shareholders of MSRPL have completed the transfer of 100% of the said Equity Shares and Preference Shares to the Company.
Consequent to above, MSRPL has become a wholly owned subsidiary of the Company. The details as required under Listing Regulations read with SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 with respect to the said acquisition have already been submitted vide our above referred letter.
