CGI purchases remaining stake in SoluConseil

Quebec City, Quebec, June 20, 2003 - CGI Group Inc. (CGI) (TSX: GIB.A; NYSE: GIB;) announced today that it has acquired the remaining 33% stake of Quebec city-based SoluConseil. When CGI completed the purchase of Cognicase earlier this year, Cognicase held a 67% equity holding in SoluConseil. The closing date of the transaction is today June 20, 2003.

Established in 1999, SoluConseil employs 55 professionals with a strong track record, based in Quebec City and Montreal. The company’s current revenue run-rate is CDN$6 million with a order backlog of CDN$4 million. They provide management consulting services specializing in areas such as electronic service delivery, business process design and enterprise architecture. Their clients are mostly within the Quebec government sector.
