NOTICE OF CHANGE OF AUDITOR
CF Energy Corp. (the “Corporation”)

Notice is hereby given by CF Energy Corp. (“CF Energy”) pursuant to National Instrument 51-102 - Continuous Disclosure Obligations (the “NI 51-102”) that:

1. On November 18, 2025, the shareholders of CF Energy at the annual general and special meeting of CF Energy approved the re-appointment of Deloitte Touche Tomatsu (“Predecessor Auditor”) as the independent auditor of the Corporation, subject to agreement between the Corporation and Deloitte on the audit fee for the 2025 year.
2. On December 22, 2025, the Predecessor Auditor resigned, at the Corporation’s request, as independent auditor of the Corporation for the year ending December 31, 2025 (the “2025 Fiscal Year”).
3. On December 22, 2025, the Board of Directors of CF Energy (the “Board”) approved the appointment of WWC, P.C. (the “Successor Auditor”) as independent auditor of the Corporation for the 2025 Fiscal Year.
4. The resignation (as that term is defined in NI 51-102) of the Predecessor Auditor and the appointment (as that term is defined in NI 51-102) of the Successor Auditor were considered by the Board for approval, and the termination of the Predecessor Auditor and the appointment of the Successor Auditor were approved by the Board.
5. The Predecessor Auditor had not commenced work in respect of the 2025 Fiscal Year and therefore did not produce any reports or express any opinions thereon. There have been no modified opinions in the Predecessor Auditor’s reports on any of the financial statements of the Corporation during the relevant period.
6. There are no reportable events (as that term is defined in NI 51-102).
