On June 29, 2022, the General Meeting ofCEZ, a. s., which opened on June 28, 2022, decided on the followingchanges in the composition of the Supervisory Board of CEZ, a. s:

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Ing. Jan Vanecek was removed from the SupervisoryBoard;

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Ing. Vladim_#237;r Cerny, Ing. Vladimir Kohout and Ing.Frantisek Vagner were removed from the Supervisory Board with effectfrom August 31, 2022;

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Mgr. Roman Binder, who was appointed as a substitutemember of the Supervisory Board on February 24, 2022, was confirmed as amember of the Supervisory Board;

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Ing. Radim Jirout, MBA, LL.M. (born 1971), Ing. JiriKadrnka (born 1970), Mgr. Vit Dolezalek (born 1982) and Ing. EvaHanakov_#225; (born 1977) were elected to the Supervisory Board

The new Supervisory Board subsequently electeda Chairman and two Vice-Chairmen. The new Chairman of the SupervisoryBoard is Ing. Radim Jirout, MBA, LL.M. and the new Vice-Chairman is Mgr.Roman Binder and the new Vice-Chairman Bc. Milan Wagner, who was electedto the Supervisory Board by the company's employees.

The General Meeting of CEZ, a. s., whichopened on 28 June 2022, also decided on 29 June 2022 on the followingchanges in the composition of the Audit Committee of CEZ, a. s:

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Ing. Jan Vanecek was removed as a member of theAudit Committee

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Ing. Andrea Lukasikova was re-elected as a member ofthe Audit Committee for another term of office, effective immediately

_#183;_#160;_#160;_#160;_#160;_#160;_#160;_#160;_#160;Ing. Petr Sobotnik (born 1954) was elected as amember of the Audit Committee

The Audit Committee in its new compositionsubsequently elected Ing. Otakar Hora, CSc., as its Chairman and Ing.Ji_#345;_#237; Pelak, Ph.D., as its Vice-Chairman.
