NOTICE OF CHANGE OF AUDITOR

Pursuant to National Instrument 51-102

TO: Manning Elliott LLP MNP LLP AND TO: British Columbia Securities Commission Alberta Securities Commission

RE: Notice Regarding Change of Auditor Pursuant to Section 4.11 of National Instrument 51102 – Continuous Disclosure Obligations (“ NI 51-102 ”)

Dear Sirs/Mesdames:

Notice is hereby given, pursuant to Section 4.11 of NI 51-102, of a change of auditor of Ceylon Graphite Corp. (the “ Company ”).

1. Manning Elliott LLP, the auditor of the Company (the “ Former Auditor ”), tendered their resignation effective August 6, 2024.

2. The Former Auditor resigned at the request of the Company.

3. The resignation of the Former Auditor has been approved by the board of directors of the Company (the “ Board ”).

4. The Board approved the appointment of MNP LLP as successor auditor of the Company to fill the vacancy in the position of auditor of the Company on August 6, 2024.

5. There have been no reservations or modified opinions in the Former Auditor’s reports on the Company’s financial statements relating to the period during which the Former Auditor was the Company’s auditor.

6. There are no reportable events (as such term is defined in NI 51-102) in connection with the change of auditor.
