Sub: Change in Senior Management Personnel of the Company
Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI LODR’), we would like to inform that Mr. Subir Verma has been appointed as an Executive Director and Chief Human Resource Officer (CHRO) of CESC Limited and its power group of companies, effective from February 1, 2024.
With this, there has been a leadership transition in the Human Resources Department of the Company and accordingly, we write to inform you of the following changes in the Senior Management Personnel of the Company:

Mr. Gautam Ray, Executive Director (HR & Administration), is being redesignated as President (Corporate) and Business Head for Malegaon Power Supply Limited, a subsidiary of CESC Limited.

As mentioned above, effective February 1, 2024, Mr. Subir Verma has been appointed as an Executive Director and Chief Human Resource Officer of CESC Limited and its power group of companies.
We are grateful for Mr. Ray’s contributions and welcome Mr. Verma to our team.
The details of Mr. Subir Verma as per SEBI Circular No. SEBI/HO/CFD/CFDPoD1/P/CIR/2023/123, dated 13th July, 2023, are provided in “ Annexure – A.”
