This Current Report on Form 8-K is filed by Certara, Inc., a Delaware corporation (the “Company”), in connection with the matter described herein.

Item 2.02 Results of Operations and Financial Condition.

On March 4, 2021, the Company issued a press release announcing unaudited results of operations for the three and twelve-month periods ended December 31, 2020, and financial condition at December 31, 2020. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
