Sub: Reply to the Clarification

We refer to your email dated 5th August, 2021 in respect of clarification sought for the Announcement submitted to Stock Exchange regarding "In-Principle approval for Divestment of Anjani Tiles Limited Subsidiary Company". In this regard we would like to inform you that the Board of Directors at their meeting held on 5th August, 2021 have only In-principally approved proposal of divestment of its entire stakes in Anjani Tiles Limited, a Subsidiary Company.

Further the Board has authorized Chairman & Managing Director/Joint Managing Director/Executive Directors to finalise the terms and conditions in the best interest of the Company and to sign and execute necessary Agreement, MOU and other documents as may be necessary in this regard.

Since proposal is at initial stage and no definitive agreement have been finalized and hence the details as required vide SEBI circular dated gth September, 2015 and the details as mentioned in your email are not furnished.

Once the Terms and conditions including consideration are finalised, Definitive agreement will be executed and simultaneously the details as required vide SEBI circular dated gth September, 2015 and details as mentioned in your email will be furnished to the Stock Exchange as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

We would like to add that in the event if there is any development in the said matter which requires disclosure under Regulation 30 of the SEBI (Listing Obligations and ·Disclosure Requirements) Regulations, 2015, we will disclose the same in accordance with the regulatory requirements to the stock exchanges.
