Subject: Addendum to Notice of 55" Annual General Meeting of Century Enka Limited — Demise of Cost Auditor, Mr. M. R. Dudani the Proprietor of M/s. M.R. Dudani &Co., Cost Accountants
Dear Shareholders,
With respect to the 55" Annual General Meeting (AGM) of Century Enka Limited ("the Company") scheduled to be held on 13" August, 2021 and for that the Annual Report along with the Notice of AGM has already been sent by email on 15" July, 2021 to the shareholders of the Company. Trust you are in receipt ofhe same.
The Notice of AGM contains a resolution as Item No.8 pertaining to ratification of remuneration of Cost Auditors for the financial year 2020-21 for which the approval of the Members is being sought by way of an Ordinary Resolution pursuant to the provisions of Section 148 (3) of the Companies Act, 2013 read with Rule 14 (a)(ii) of the Companies (Audit and Auditors) Rules, 2014.
The Company has received a communication from a family member of Mr. M. R. Dudhani, the proprietor of M/s. M. R. Dudani & Co., Cost Accountants about his sad demise. The Board noted the sad demise of Mr. M. R. Dudani the proprietor of M/s. M.R. Dudani & Co., Cost Accountants.
In view of the demise of Mr. M. R. Dudani, the proprietor of M/s. M. R. Dudani & Co., Cost Accountants, the Ordinary Resolution in connection with the ratification of remuneration of M/s. M. R. Dudani & Co., Cost Auditors in the AGM Notice dated 18" May, 2021 has become infructuous.
In light of the above facts, the Shareholders are kindly requested to note that there is no requiremento vote on the said item.

सेंचरी एन्का लिमिटेडची ("कंपनी") ५५वी वार्षिक सर्वसाधारण सभा जी १३ ऑगस्ट, २०२१ रोजी घेण्याचे निर्धारित केले आहे आणि त्याकरिता एजीएम सूचनेसमवेत वार्षिक अहवाल वाआधीच कंपनीच्या भागधारकांना १५ जुलै, २०२१ रोजी इंमेलद्वारा पाठविण्यात आला आहे. विश्वास वाटतो की सदर एजीएम सचनेसमवेत वार्षिक अहवाल आपणास मिळाला आहे.
एजीएमच्या सूचनेमध्ये वित्तिय वर्ष २०२०-२१ करिता कॉस्ट ऑडिटर्सच्या पारिश्रमिकेच्या मंजुरीसंबंधित आयटम नं. ८ म्हणन ठरारावाचा समावेश आहे. ज्याकरिता सदस्यांची मान्यता कंपनीज (ऑडिट औड ऑडिटर्स) रुल्स, २०१४च्या रुल १४ (ए) (॥) वासह वाचलेल्या कंपनीज ॲक्ट, २०१३च्या सेक्शन १४८ (३) च्या तरतुर्दीच्या अनुसार सामान्य ठरावाद्वारा मिळविण्यात येत आहे.
कंपनीला श्री एम.आर. दुदानी, मेसर्स एम.आर. दुदानी अँड कं., कॉस्ट अकाउटंट्सचे प्रोप्रायटर यांच्या एका कटेब सदस्याकडून त्यांच्या निधनासंबंधित पत्रव्यवहारमार्फत माहिती मिळाली आहे. मंडळाने श्री एम.आर. दुदानी, मेसर्स एम.आर. दुदानी औंड कं., कॉस्ट अकाउटंट्सचे प्रोप्रायटर यांच्या निधनाची नोंद घेतली आहे. श्री एम.आर. दुदानी, मेसर्स एम.आर. दुदानी औंड कं., कॉस्ट अकाउटंट्सचे प्रोप्रायटर यांच्या निधनामुळे दिनॉकित १८ मे, २०२१ एजीएम सुचनेमध्ये मेसर्स एम.आर. दुदानी औड कं., कॉस्ट ऑडिटर्सच्या पारिश्रमिकेच्या मंजुरीसंबंधित सामान्य ठराव निष्फळ ठरला आहे.
