INCREASE IN DIRECTOR’S HOLDING – ROGER DOBSON

Attached is an Appendix 3Y for Roger Dobson who purchased 30,000 shares on 28 June 2010. The Appendix 3Y for this transaction did not meet the lodgement time guidelines as outlined in ASX Listing Rule 3.19A due to the following:

  • the company procedure is for the director to inform the Company Secretary immediately upon a change of interest by electronic means,

  • Mr Dobson followed the procedure and sent an email to the Company Secretary at the time of purchase,

  • due to an incorrect email address the email was not delivered to the Company Secretary, and

  • the change of interest was picked up by an ad hoc check carried out by the Company Secretary’s office.

The Company has found its procedure regarding changes to interest to have worked successfully in the past. The procedure is an intrinsic part of Director Induction and the Directors are reminded of the importance of the procedure by the Company Secretary on a regular basis as part of their continuing education. However, going forward, as part of OFG’s effort to continuously review and improve its procedures, the Directors shall be required to confirm their electronic advice was received by the Company Secretary. Also, more regular checks shall be carried out by the Company Secretary’s office on Director’s Interests.

Mr Dobson’s transaction took place well before the Company entered a blackout period on 9 July 2010.
