SUCCESSFUL COMPLETION OF $80 MILLION PLACEMENT

Centuria Capital Group (ASX: CNI or Centuria ) is pleased to announce the successful completion of the fully underwritten institutional placement announced on Wednesday, 29 January 2020 ( Placement ).

Due to strong demand from new and existing institutional investors, the size of the Placement was increased from $60 million to $80 million. The additional proceeds from the Placement will be used to support the continued growth of Centuria's unlisted and listed businesses.

The Placement will result in the issue of approximately 34.2 million securities ( New Securities ) at an issue price of $2.34 per New Security.

Including the impact of the additional proceeds from the Placement, Centuria reaffirms its FY20 earnings and distribution guidance of:

• FY20 distribution per security of 9.7 cents; and

• FY20 operating earnings per security of 12.5 cents.

The New Securities will settle on Monday, 3 February 2020, with allotment and normal trading to occur on Tuesday, 4 February 2020. The New Securities will rank equally with existing Centuria securities on issue and will be entitled to the full distribution for the six months ending 30 June 2020.

Centuria confirms that, pursuant to Listing Rule 7.1, the institutional placement is within its existing placement capacity and does not require securityholder approval.

RESUMPTION OF TRADING

Centuria securities are expected to resume trading on the ASX from market open today (Thursday, 30 January 2020).
