Centuria Capital Group (ASX Code: CNI) – Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Centuria Capital Limited ACN 095 454 336 ( Centuria Capital ) and Centuria Funds Management Limited ACN 607 153 588 ( CFML ) as responsible entity of the Centuria Capital Fund ARSN 613 856 358 ( Trust ) (together with Centuria Capital, CNI ) under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

Pursuant to the institutional placement announced on 29 January 2020, CNI has today issued 34,188,035 stapled securities in CNI ( Stapled Securities ) at a price of $2.34 per Stapled Security.

CNI advises that:

• (a) the Stapled Securities were issued without a prospectus or a product disclosure statement for the Stapled Securities being prepared;

• (b) this notice is being given under sections 708A(5)(e) and 1012DA(5)(e) of the Act;

• (c) as a disclosing entity, CNI is subject to regular reporting and disclosure obligations;

• (d) as at the date of this notice, CNI has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to CNI; and

  • (ii) section 674 of the Act as it applies to CNI; and

• (e) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Act that needs to be set out in this notice.
