Centuria Capital Group (ASX Code: CNI) - Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Centuria Capital Limited ACN 095 454 336 ( Company ) and Centuria Funds Management Limited ACN 607 153 588 ( CFML ) as responsible entity of the Centuria Capital Fund ARSN 613 856 358 ( Trust ) (together with the Company, CNI ) under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

CNI has today issued 47,691,129 securities in CNI ( Placement Securities ) at a price of $2.10 per security and 1,579,430 securities in CNI ( Incentive Securities ) for nil cash consideration to directors and executives.

CNI advises that:

• (a) the Placement Securities and Incentive Securities were issued without a product disclosure statement for the Placement Securities and Incentive Securities being prepared and without disclosure under Part 6D of the Act;

• (b) this notice is being given under sections 708A(5)(e) and 1012DA(5)(e) of the Act;

• (c) as a disclosing entity, CNI is subject to regular reporting and disclosure obligations;

• (d) as at the date of this notice, the Company and CFML has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to CNI; and

  • (ii) section 674 of the Act as it applies to CNI; and

• (e) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Act that needs to be set out in this notice.
