Centuria Capital Group (ASX Code: CNI)

Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Centuria Capital Limited ACN 095 454 336 ( Company ) and Centuria Funds Management Limited ACN 607 153 588 ( CMFL ) as responsible entity of the Centuria Capital Fund ARSN 613 856 358 ( Trust ) (together with the Company, Centuria ) under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

Each unit in Centuria Capital Fund is stapled to one share in the Company ( Stapled Securities ).

Centuria has today issued 10,049,235 Stapled Securities pursuant to the exercise of 10,049,235 options to acquire CNI Stapled Securities that were exercisable at a price of $1.30 per option, expiring on 29 June 2022.

Centuria advises that:

1. the Stapled Securities have been issued without disclosure to investors under part 6D.2 and Part 7.9 of the Act and without a prospectus or product disclosure statement being prepared;

2. this notice is being given under sections 708A(5)(e) and 1012DA(5)(e) of the Act;

3. as a disclosing entity, Centuria is subject to regular reporting and disclosure obligations;

4. as at the date of this notice, Centuria has complied with:

   • (a) the provisions of Chapter 2M of the Act as they apply to each of the Company and the Trust respectively; and

   • (b) section 674 of the Act as it applies to each of the Company and the Trust respectively; and

5. as at the date of this notice, there is no 'excluded information' of the type referred to in sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Act that needs to be set out in this notice.
