Centuria Capital Group (ASX Code: CNI)

Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Centuria Capital Limited ABN 22 095 454 336 ( Company ) and Centuria Funds Management Limited ACN 607 153 588 as responsible entity of the Centuria Capital Fund ( Trust ) (together with the Company, the Issuers or Centuria ), under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

Each unit in the Trust is stapled to one share in the Company ( Stapled Securities ).

On 23 November 2016, the Issuers announced an institutional placement to raise approximately $23 million ( Placement) , and a conditional placement to raise approximately $50 million ( Conditional Placement ). The Issuers will today issue 72,805,267 new Stapled Securities ( New Stapled Securities ) under the Placement and the Conditional Placement.

The Issuers advise that:

• (a) the New Stapled Securities will be issued without disclosure to investors under Part 6D.2 and Part 7.9 of the Corporations Act and without a prospectus or product disclosure statement being prepared;

• (b) this notice is being given under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act;

• (c) as disclosing entities, the Issuers are subject to regular reporting and disclosure obligations;

• (d) as at the date of this notice, the Issuers have complied with:

  • (1) the provisions of Chapter 2M of the Corporations Act as they apply to each of the Trust and the Company respectively; and

  • (2) section 674 of the Corporations Act as it applies to each of the Trust and the Company respectively; and

• (e) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) or 1012DA(8) of the Corporations Act.
