Centuria Capital Fund - Admission and Commencement of Official Quotation of Stapled Securities in Centuria Capital Group

Description

Centuria Capital Limited (Company) is currently admitted to the official list of ASX Limited (ASX) and its fully paid ordinary shares trade under the ASX code CNI.

On 10 October 2016, shareholders in the Company approved the resolutions necessary to staple the fully paid ordinary units of Centuria Capital Fund (Fund) to the fully paid ordinary shares in the Company (Stapling Proposal).

The Stapling Proposal will be achieved by the Company making an in specie distribution of the units in the Fund to shareholders in the Company, so that the shares and units become stapled on a one-for-one basis forming a single class of stapled securities (Stapled Securities), creating a new stapled group, Centuria Capital Group. The distribution will occur partly as a return of capital and partly as a franked dividend, as outlined in the information memorandum dated 26 August 2016 as supplemented by the information memorandum dated 23 September 2016.

The Fund is expected to be admitted to the official list of ASX on Wednesday 12 October 2016. The new stapled entity will trade as Centuria Capital Group (Group).

Official quotation of the Stapled Securities is expected to commence on a deferred settlement basis as part of Group 2 at 10:02:15 am (+/- 15 seconds) AEDT on Wednesday 12 October 2016.

Quoted Securities: 77,194,733 Stapled Securities ASX Code: During the deferred settlement trading period: CNIDA.

It is expected that the Stapled Securities’ ASX code will revert to CNI on 18 October 2016, with the commencement of normal (T+2) trading.
