This notice is given by Over Fifty Group Limited ( ASX: OFG ) ( Company ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) and paragraph 7(f)(ii) of ASIC Class Order ( CO 09/425 ) in relation to the issue of fully paid ordinary shares in the Company under a share purchase plan announced by the Company on 11 December 2009 ( SPP ).

The Company gives notice that:

1. it intends to issue shares under the SPP without disclosure to investors under Part 6D.2 of the Corporations Act;

2. this notice is being given by the Company in accordance with CO 09/425;

3. as at the date of this notice, the Company has complied with:

   • (a) the provisions of Chapter 2M of the Corporations Act (relating to financial reporting and audit) as they apply to the Company; and

   • (b) section 674 of the Corporations Act (relating to continuous disclosure); and

4. as at the date of this notice, there is no "excluded information" within the meaning of sections 708A(7) or 708A(8) of the Corporations Act which is required to be disclosed by the Company under section 708A(5)(e) of the Corporations Act.
