Sub: Intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) – Regulations, 2015 Disclosure regarding Memorandum of Understanding (MoU) signed by the Company with Garden Reach Shipbuilders & Engineers Limited (“GRSE”) for High-Tech Navigation System.

The Company (“Centum”) wishes to inform that it has entered into a Memorandum of Understanding (MoU) with Garden Reach Shipbuilders & Engineers Limited (“GRSE”) on 8th October 2025 at GRSE Bhavan, Kolkata. This is a significant step towards advancing indigenous capability in high-technology navigation systems for the Indian Navy.

GRSE is a Defence Public Sector Undertaking under the administrative control of the Ministry of Defence and is classified as a Schedule ‘A’ Mini Ratna Category I company. It is a leading shipyard in the country engaged primarily in building of ships for the Indian Navy, Indian Coast Guard and other government and non-government customers, and in ship repair and general engineering activities including manufacture of deck machinery and other engineering items.

This MoU establishes a collaborative framework between Centum and GRSE which is aimed at joint research and development (R&D) of Advanced Naval Navigation Systems. This partnership shall focus on leveraging and enhancing manufacturing infrastructure for components and subassemblies of these systems including Onboard Installation, Integration, Setting to Work and Trials, and shall also provide services for the modernization and upgrade of the existing Systems.

- Centum Electronics and GRSE Forge Partnership to Co Develop Indigenous Advanced Navigation Systems for Indian Navy

Bengaluru, 08 October 2025: Centum Electronics Limited (“Centum”), one of India’s leading electronics system design and manufacturing companies serving the Defence, Aerospace, Space, Industrial and Medical sectors, has signed a Memorandum of Understanding (MoU) with Garden Reach Shipbuilders & Engineers Limited (“GRSE”), a premier Defence Public Sector Undertaking under the Ministry of Defence.

The MoU was signed on 08 October 2025 at GRSE Bhavan, Kolkata, by Cdr Shantanu Bose, IN (Retd.), Director (Shipbuilding), GRSE, and Mr. Nikhil Mallavarapu, Joint Managing Director, Centum Electronics Limited, in the presence of Cmde P.R. Hari, IN (Retd.), Chairman & Managing Director, GRSE, and Mr. Apparao V. Mallavarapu, Chairman & Managing Director, Centum Electronics Limited, along with senior officials from both organisations.

Collaboration for Indigenous System Development

This collaboration establishes a framework for joint R&D and co-development of nextgeneration Advanced Naval Navigation Systems. The partnership will leverage Centum’s established competencies in high-reliability electronics, system integration, and advanced manufacturing together with GRSE’s proven shipbuilding and platform integration capabilities.

The scope of the MoU includes design and development, manufacture of subassemblies and components, system integration, testing, and onboard trials, as well as support for modernisation and upgradation of existing naval systems. The initiative aligns with Centum’s strategic vision to move up the technology value chain and deliver complete system-level solutions while supporting the national objective of self-reliance under ‘Aatmanirbhar Bharat’.
