Sub.: Disclosure with respect to inter-se transfer within Promoter Group

Ref: Scrip Code – 501150 and NSE Scrip Code: - CENTRUM

BG Advisory Services LLP (Promoter Group of the Company) and JBCG Advisory Services Private Limited (Promoter Group of the Company) both have informed the Company that the entire Business Undertaking of BG Advisory Services LLP has been transferred to JBCG Advisory Services Private Limited pursuant to a Business Transfer Agreement (BTA) dated December 01, 2023. Pursuant to the BTA the entire holding of BG Advisory Services LLP (10,000 shares) will be transferred to JBCG Advisory Services Private Limited and that BG Advisory Services LLP will cease to exist once the conditions subsequent to the BTA are completed. This will result in an inter-se transfer of 10,000 shares of the Company equivalent to 0.004% from BG Advisory Services LLP to JBCG Advisory Services Private Limited and BG Advisory Services LLP will no longer be a Promoter Group entity of the Company once the LLP ceases to exist.

This is an inter-se transfer between Promoter Group not exceeding 2% of the shareholding. The aggregate holding of Promoter and Promoter group before and after the above inter-se transaction remains the same and does not impact the management and control of the Company.

This disclosure is being made in compliance with the requirements of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
