Sub.: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

This is further to our letter no. CCL/SEC/2025-26/36 dated August 22, 2025 wherein we had informed that the Company had entered into a Share Purchase Agreement (“SPA”) for the transfer of its entire stake in its material subsidiary viz., Centrum Housing Finance Limited (“CHFL”), to Weaver Services Private Limited (“Weaver Services”), subject to the requisite statutory, regulatory and corporate approvals, and certain conditions precedent.

In this regard, we are pleased to inform you that CHFL has received approval from the Reserve Bank of India (“RBI”) on February 3, 2025 for the proposed change in control and acquisition of the Company’s stake in CHFL by Weaver Services.

The closure of the transaction shall be subject to fulfilment of other conditions precedent specified in the SPA.
