Centrica plc (the ‘Company’)

Director/PDMR Shareholding

The Company announces that the following Person Discharging Managerial

Responsibility (‘PDMR’) acquired Centrica plc ordinary shares of 614/81 pence (‘Shares’) on 20 November 2014 through the reinvestment of the Company’s dividend of 5.10 pence per Share paid on 12 November 2014, as follows:

(1) Computershare Trust Company of Canada Inc (the ‘Administrator’), as Administrator of the North American Employee Share Purchase Plan (the ‘Plan’), purchased the following Shares in the Company at a price of 300.01 pence per Share:
