Centrica plc (‘the Company’)

NOTIFICATION IN ACCORDANCE WITH LISTING RULE 9.6.13

Further to Centrica plc’s announcement on 14 April 2015 confirming the appointment of Mark Hodges as Managing Director, British Gas and a member of the Centrica plc Board, each to take effect from 1 June 2015, Centrica plc hereby makes the following disclosures for the purposes of paragraph 9.6.13 of the Listing Rules:

(i) During the last five years, until 2 June 2011, Mark Hodges was a director of Aviva plc, a publicly quoted company.

(ii) Between 2011 and 2014, Mark Hodges was Group CEO of the specialist insurance broker Towergate. As part of the Towergate group’s financial restructuring and recapitalisation, and as envisaged by the terms of two parallel schemes of arrangement under the UK Companies Act 2006 in respect of Towergate Finance plc’s senior secured and senior unsecured creditors, on 2 April 2015 administrators were appointed over Towergate Finance plc. Mark Hodges was a member of the board of directors of Towergate Finance plc until 17 October 2014.

There is no further information required to be disclosed pursuant to paragraph 9.6.13.
