UPDATE ON THE CAPITAL CONTRIBUTION FOR THE ESTABLISHMENT OF HENAN ASSET MANAGEMENT COMPANY LIMITED

Reference is made to the announcement of Central China Securities Co., Ltd. (the “ Company ”) dated 12 July 2017 (the “ Announcement ”) in relation to the proposed establishment of Henan Asset Management Company Limited (subject to the final approval from the Henan Administration for Industry and Commerce with the pre-approved name as the actual name) with capital contribution from the Company. Unless the context otherwise requires, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

The Company is pleased to announce that in order to accelerate the establishment of Henan Asset Management Company Limited, as at the date of this announcement, the Board has approved and agreed that Central China Blue Ocean Investment Management Company Limited* (中州藍海投資 管理有限公司), a wholly-owned subsidiary of the Company, will act as the capital contributor in the establishment of Henan Asset Management Company Limited by making a capital contribution of RMB500 million by way of cash. Save as aforesaid, other details such as the registered capital of Henan Asset Management Company Limited, number of capital contributors and percentage of capital contribution of each capital contributor shall remain unchanged.

As at the date of this announcement, the Company has not entered into any agreement or any transaction in relation to the above matter. This announcement is disclosed by the Company on a voluntary basis for the purpose of updating the shareholders of the Company and potential investors on the business development of the Company. In addition, as disclosed in the Announcement, Henan Investment Group, Zhongyuan Trust and Henan Yicheng are connected persons of the Company under Rule 14A.07(1) of the Listing Rules. Therefore, the carrying out of the said contemplated transactions (if consummated) will constitute a connected transaction of the Company under Chapter 14A of the Listing Rules. The Company will make further announcements on the progress and development of the establishment of Henan Asset Management Company Limited at an appropriate time in accordance with the requirements of relevant laws and regulations (including the Listing Rules) and fulfill the necessary compliance requirements.
