IMPORTANT NOTICE TO ELIGIBLE SHAREHOLDERS – OPPORTUNITY TO PARTICIPATE IN A SHARE PURCHASE PLAN

On behalf of the Directors, I am pleased to offer ( Offer ) you the opportunity to participate in Centaurus Metals Limited’s ( Centaurus or Company ) Share Purchase Plan ( SPP ) which was announced on Thursday, 14 August 2025. The SPP provides each eligible Centaurus shareholder the opportunity to subscribe for up to $30,000 of new fully paid ordinary shares in the capital of Centaurus ( SPP Shares ), subject to a total subscription amount of $30,000 pursuant to this SPP and any prior share purchase plan or similar arrangement undertaken by Centaurus in the past 12 months.

Eligible shareholders who participate in the SPP are also entitled to one free attaching unlisted option ( SPP Option ) for every two SPP Shares subscribed for and issued under the SPP ( SPP Option Offer ). The SPP Options will each be exercisable at $0.50 and will expire on 30 November 2027. Each SPP Option gives the holder the right to subscribe for one fully paid ordinary share in the capital of Centaurus ( Share ) upon exercise. The SPP Option Offer is being made under a prospectus that is being provided to Eligible Shareholders ( Options Prospectus ) .

The SPP Offer Booklet ( SPP Booklet ) and Options Prospectus has been given to ASX and is available to - view on the ASX website and the Company’s website at https://www.centaurus.com.au/site/investor centre/asx-announcements. Further details regarding the Offer have also been announced to the ASX and are available on ASX’s website.

Centaurus Metals Limited will not be printing / dispatching hard copies of the SPP Booklet, Options Prospectus or application forms. Instead, an electronic copy of the SPP Booklet, Options Prospectus and your application form is available and accessible by you (using your Securityholder Reference Number (SRN) or Holder Identification Number (HIN) from your latest Holding Statement, and your postcode) at the following link: https://portal.automic.com.au/investor/home

Shareholders should read the SPP Booklet and Options Prospectus in full prior to making an application under the Offer. Your application under the Offer must be made by making payment in accordance with the personalised payment instructions

If you are unable to access https://portal.automic.com.au/investor/home online, you can obtain a copy of the SPP Booklet and Options Prospectus along with your application form – initially by calling Automic Group on 1300 288 664 or emailing Corporate.Actions@automicgroup.com.au and requesting a paper copy of the SPP Booklet, Options Prospectus and your application form which will be mailed to you free of charge.

After your request has been acknowledged by Automic you will need to provide your SRN or HIN and postcode to complete this request. To accept an Offer using paper copy documents, you will still need to make payment via BPay® or via Electronic Funds Transfer (EFT). For New Zealand shareholders please follow the instructions on your application form to make payment via Electronic Funds Transfer (EFT).

The Offer closes at 5:00pm (AWST time) on Friday,5 September 2025.
