Further to our disclosure dated 25[th] October, 2024 regarding signing of Share Purchase Agreement by Italian Thai Development Public Co. Ltd. (Existing Promoter of the Company) with Renew Exim DMCC (Acquirer) on 25[th] October, 2024, this is to inform you that the Competition Commission of India vide its communication dated 28[th] January, 2025 has granted its approval to the Acquirer as given below:

1. Acquisition by Renew Exim DMCC (Acquirer) of approximately 46.64% equivalent to 8,01,13,180 Equity Shares of the total issued and voting share capital of the Company held by Existing Promoter of the Company.

2. Making of an open offer for acquisition up to 4,46,64,772 equity shares of Re 1/- each constituting 26% of the equity share capital of the Company, at a price of Rs. 571.68/- per equity share, from the public shareholders of the Company.
