Pursuant to Regulations 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that the Board of Directors at its Meeting held on 7[th] August, 2023, interalia, considered and approved following:

• 1) Upon recommendation of the Nomination and Remuneration Committee, re-appointment of Mr. Mr. Pankaj I. C. Jain (DIN 0173513) as an Independent Director of the Company for a second term of 5 (five) consecutive years with effect from 31[st] October, 2023 to 30[th] October, 2028 (both days inclusive), subject to the approval of the Members of the Company.

The Company proposes to seek Members’ approval for the above appointment by means of Postal Ballot.

Details of Mr. Pankaj I. C. Jain, pursuant to SEBI Listing Regulations read with SEBI circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13[th ] July, 2023, are enclosed as Annexure1.

• 2) Upon recommendation of the Nomination and Remuneration Committee, positioning of Mr. K R Senthilnathan, Vice President and Head – Business Development and Marketing of the Company in the category of Senior Management Personnel, one level below the Managing Director of the Company with immediate effect.
