Sub: Intimation under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI Listing Regulations)

In terms of Regulation 30 read with clause 14 of Para A of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that the shareholders of the Company, at its 47[th] Annual General Meeting, held on 7[th] August, 2025, inter-alia, approved the following items by way of Special Resolutions.

1. Change of name of the Company from “ITD Cementation India Limited” to “Cemindia Projects Limited” or such other name as may be approved by the Authority and consequent alteration in Memorandum of Association and Articles of Association of the Company subject to approval of the Registrar of Companies.

The Company has been using “ITD Logo”, which is a registered Trade Mark owned by ItalianThai Development Public Company Limited (“ITDPCL”), the erstwhile Promoter of the Company, and has been operating its business activities under the name of “ITD Cementation India Limited”. In view of the change in ownership and control of the Company from ITDPCL to Renew Exim DMCC (“RENEW”), the new Promoter of the Company, belonging to the Adani Group, the Company is required to discontinue the usage of the “ITD logo”. Therefore, it is proposed to change the name of the Company.

1. Amended and restated Articles of Association of the Company subject to approval of the Registrar of Companies:

The following Articles of Articles of Association are hereby amended by deleting references to ITDPCL appearing in these Articles and replacing them with the name of the new Promoters viz. Renew:

• Article 2(1) of the Company by deleting the definition of ITDPCL and inserting the definition of Renew Exim DMCC

• Article 103 (1) to (4)

• Article 114 (1) to (6) - Article 120 (1) to (3),

thereby adopting the amended and restated Articles of Association of the Company in substitution of the existing Articles of Association of the Company.

The Annual General Meeting of the shareholder commenced at 2.30 p.m. and concluded at 3.45 p.m.
