ANNOUNCEMENT OF PROXIES

Pursuant to the Danish Securities Trading Act Topsil Semiconductor Materials A/S hereby announces that the Board of Directors' of the company has received six shareholder proxies, including a general proxy with certain restrictions, representing in total nominally DKK 18,478,188 of the share capital, corresponding to 53.9% of the share capital and 53.9% of the votes that will be represented at the extraordinary general meeting to be held on 17 June 2016.
