Item 2.02 Results of Operations and Financial Condition

On January 21, 2010, Celsius Holdings, Inc (the “Company”) issued a press release reporting its estimated revenue for the fourth quarter 2009, projected revenue for 2010, as well as a 2010 cash flow projection.. A copy of the press release, is attached hereto as Exhibit 99.1 and incorporated herein by reference.
