CELLULARLINE S.p.A.: LETTER OF INTENT BY ESPRINET S.p.A.

Reggio Emilia, 26 May 2022 - Following the press release of May 8th, 2022, relating to the non-binding letter of intent (the "Letter of Intent") by Esprinet S.p.A. ("Esprinet") aimed at promoting a public total voluntary takeover bid aimed at delisting Cellularline S.p.A. (the "Company"), it is noted that today the Company's Board of Directors resolved to allow Esprinet to begin due diligence activities, limited to selected information among the requested ones and, in any case, with the exclusion of commercial sensitive information. The purpose is to allow the preparatory analyses for possible promotion of the takeover bid, as requested in the Letter of Intent.

Without prejudice to their legal obligations, the Company's Board of Directors - with the help of the appointed advisors (Equita and GattiPavesiBianchiLudovici) - reserves the right to carry out its own assessments in relation to the proposed transaction, in an appropriate manner and at a suitable time.

Carrying out of the limited due diligence activities is subject to the signing of a specific confidentiality agreement by Esprinet.
