SHAREHOLDERS' MEETING OF 28 APRIL 2021 PUBLICATION OF THE NOTICE OF CALL AND DOCUMENTATION FOR THE SHAREHOLDERS' MEETING

Reggio Emilia, 26 March 2021 - Cellularline S.p.A. ("Cellularline" or the "Company") announces that the notice of call of the 2021 Shareholders' Meeting was published today on the company's website www.cellularlinegroup.com and filed with the authorised storage mechanism (). A condensed version of the notice was published in the newspaper Il Sole 24 Ore on 27 October 2021.

The Directors' reports on the points on the agenda pursuant to article 125-ter of Legislative Decree 58/1998 ("TUF") and the Information Document relating to the "2021-2023 Incentive Plan" of Cellularline S.p.A. drawn up in accordance with art. 84-bis of Consob Regulation no. 11971/1999 have been made available to the public at the Company's registered office, on the authorised storage mechanism () and on the company's website www.cellularlinegroup.com.

In order to minimise the risks resulting from the current public health emergency, the company has decided to exercise its option under article 106, paragraph 4 of Decree Law no. 18 of 17 March 2020, converted, as amended, into Law no. 27 of 24 April 2020, as amended and supplemented, to allow those with voting rights to participate in the shareholders' meeting exclusively via the company's designated representative pursuant to article 135-undecies of the TUF. The Company has designated Computershare S.p.A. - with registered office in Milan, via Mascheroni 19, 20145 - as the designated shareholders' representative pursuant to article 135 undecies of the TUF. Furthermore, it is noted that the designated representative may be given proxies and/or sub-proxies in accordance with article 135-novies of the TUF.
