CELLCOM ISRAEL LTD. ANNOUNCES CONSENSUAL WITHDRAWAL OF NUMBER PORTABILITY PETITION

While the Company has not issued any report concerning the development set forth below, the Company’s controlling shareholder will provide an immediate report about this development under its Israeli reporting requirements and, consequently, the Company is filing this Form 6-K.

Netanya, Israel – December 19, 2007 – Cellcom Israel Ltd. (NYSE: CEL) (the "Company"), announced that following implementation of number portability in Israel on December 1, 2007, the petition filed with the Supreme Court of Israel, in August 2006 by the Company and two other cellular operators against the Government of Israel and the Ministry of Communications to show cause for their failure to act in order to postpone the deadline for the implementation of number portability, was consensually withdrawn today, without prejudice to the parties’ claims, at the request of the petitioners. A similar petition filed by a landline operator was so withdrawn as well.
