METRO AG: METRO GROUP sells Galeria Kaufhof to Hudson’s Bay Company for EUR2.825 billion

Today, METRO GROUP signed an agreement with Hudson's Bay Company,
Toronto/Canada, to sell Galeria Kaufhof which includes the operational
department store business both in Germany (GALERIA Kaufhof) and Belgium
(GALERIA INNO) as well as the corresponding owned real estate portfolio.

The purchase price (enterprise value) is EUR2.825 billion. With this
transaction METRO GROUP expects a positive cash inflow of around EUR1.6
billion and to significantly reduce its rating-relevant net debt by around
EUR2.7 billion. Moreover METRO GROUP expects a positive EBIT effect
(special item) in the region of around EUR0.7 billion from the transaction.

The transaction is expected to be closed end of September 2015.
