Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— The Executive Board of METRO AG, Düsseldorf, informs about decisions taken by the shareholders of Metro Holding AG, Baar/Zug, as follows: In order to explicitly counter rumors of an alleged end to their exceedingly successful 30-year cooperation as well as rumors about an alleged sale of their interests in METRO AG, the partners of METRO Holding AG and METRO WKG have taken the following decisions: 1. The three original partners Beisheim, Haniel und Schmidt- Ruthenbeck will continue their cooperation for an indefinite period of time. 2. The partners will continue to maintain their commitment to METRO AG. 3. In order to reinforce these decisions, Mr. Jan von Haeften, president of the administrative board of METRO Holding AG and chairman of the supervisory board of Franz Haniel & Cie, will join the supervisory board of METRO AG (the appointment by the court registrar has not yet taken place), and will then apply for the position of chairman of this supervisory board. 4. In order to facilitate this process, Mr. Erwin Conradi will resign his positions as president of the executive board of METRO Holding AG, partner of METRO WKG and chairman of the supervisory board of METRO AG as of 1 August 2000. The partners thank Mr. Conradi for his definitive contributions to the development of METRO into the third largest retail group worldwide, of which he was a leader for nearly 30 years. 5. Step by step, Mr. Erwin Conradi will assume the partnership responsibilities of Prof. Dr. Otto Beisheim within the governing bodies of METRO Holding AG and METRO WKG, thus retaining a decisive influence on the development of the company. All of the partners are convinced that these far-reaching measures will successfully counter the rumors circulating about METRO AG, and that the company will continue on its extraordinarily successful path in the future.
