Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) The Board of Directors of CECO Environmental Corp. (“CECO”) on September 28, 2011 named Benton Cook, Corporate Controller, as interim Chief Financial Officer, while the CECO Board of Directors makes its final Chief Financial Officer selection. Mr. Cook, age 49, joined CECO in 2004 in the role of Project Manager – Sarbanes-Oxley and has served as CECO’s Corporate Controller since 2008, which position he will continue to hold.
