Sub: Intimation of proposed Secondary Market Purchase of Company’s Equity Shares by ESOP Trust in a scheduled manner Ref: Our letters dated May 12, 2025 and August 6, 2025 regarding institution of 'CEAT - Employees Stock Option Scheme 2025, grants of ESOPs thereunder and related matters.

Pursuant to the approval of the shareholders and in accordance with SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 (“SBEBSE Regulations’), the Company has instituted the CEAT - Employee Stock Option Scheme 2025 (“Scheme”), which is administered and implemented through ESOP Trust.

In order to meet the requirements of vesting due in future, regarding options granted under the Scheme, the ESOP Trust proposes to acquire up to 108,572 equity shares of the Company from the secondary market, in multiple tranches on or before January 31, 2026. The acquisition will be undertaken through a SEBI registered stockbroker, only during open trading window period(s), in compliance with limits prescribed under Regulation 3(11) of the SBEBSE Regulations and in conformity with SEBI (Prohibition of Insider Trading) Regulations, 2014 and the Company’s Code of Conduct.

The proposed acquisition will be funded in accordance with shareholders’ approval and the applicable provisions of the SBEBSE Regulations. Necessary disclosures, as and when triggered, will be made to the stock exchanges in accordance with relevant regulations.
