Item 2.02 Results of Operations and Financial Condition.

On March 31, 2017, Surna Inc. (the “Company”) issued a press release announcing its financial results for the fiscal year ended December 31, 2016. On that same day, the Company held a conference call to discuss its financial results for the fiscal year ended December 31, 2016. A copy of the press release is attached as Exhibit 99.1 and a transcript of the conference call is attached as Exhibit 99.2.
