Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 28, 2011, Thomas E. Richards was elected to serve as a member of the board of managers of CDW Holdings LLC and as a member of the board of managers of CDW LLC. Mr. Richards has not been appointed to any board committees at this time.

As previously disclosed, Mr. Richards, 56, will succeed John A. Edwardson as CDW’s Chief Executive Officer effective October 1, 2011. Mr. Richards currently serves as CDW’s President and Chief Operating Officer.
