COMPLETION OF VERY SUBSTANTIAL ACQUISITION AND CONNECTED TRANSACTION

Reference is made to the circular (the “ Circular ”) of China Sandi Holdings Limited (the “ Company ”) dated 26 December 2018 and the poll results announcement of the Company dated 16 January 2019. Capitalised terms used in this announcement have the same meanings as defined in the Circular unless the context requires otherwise.

The Board is pleased to announce that all conditions precedent of the Agreement had been fulfilled and the Completion of the Acquisition took place on 30 January 2019. Upon the Completion, All Excel has become an indirect wholly-owned subsidiary of the Company. The financial results of the Target Group will be consolidated into the financial statements of the Group.
