Subject: ManagementBoard recommendation concerning allocation of the net profit obtained in2024

Legalbasis: Art. 17 of MAR - inside information

TheManagement Board of CDPROJEKT S.A. with its registered office in Warsaw (the "Company")hereby announces that on 7 May 2025it adopted a resolution concerning on the adoption and submitting to theSupervisory Board and the Ordinary General Meeting of the motionregarding the allocation of the net profit for 2024.

TheManagement Board proposes that the Company's net profit for thefinancial year 2024 amounting to PLN470,672,657.32,to be allocated as follows:

(i)theManagement Board recommends to transfer theamount of PLN 370,762,147.32to the reserve capital of the Company;

(ii)theManagement Board recommends to divide between the shareholders theamount of PLN 99,910,510.00 among the shareholders of the Company as adividend, i.e. the dividend in the amount of PLN 1.00 per one share ofthe Company.

Inconjunction with the above, the ManagementBoard recommends the following schedule:

-dividend date: 30 June 2025,

-dividend payment date: 9 July 2025.

Uponissuance of an opinion on the recommendationby the Supervisory Board of the Company, the final decision regardingthe allocation of profit and the payment of a dividend rests with the OrdinaryGeneralMeeting of the Company.
