Subject: Appointment of new Management Board members at CD PROJEKT S.A.

Legal basis: Art. 56 section 1 item 2 of the Act on Public Offering -current and periodic information

The Management Board of CD PROJEKT S.A. with a registered office inWarsaw (hereinafter referred to as "the Company") hereby announced thaton 26 January 2022 the Supervisory Board of the Company adopted aresolution appointing Mr. Jeremiah Cohn and Mr. Paweł Zawodny to theManagement Board of CD PROJEKT S.A., effective 1 February 2022.

Mr. Jeremiah Cohn and Mr. Paweł Zawodny have both submitted declarationsto the effect that they are not listed in the Registry of InsolventDebtors maintained on the basis of the National Court Registry act, donot engage in competition with the CD PROJEKT Group, are not partners incivil law partnerships or limited companies which engage in suchcompetition and are not members of any official bodies of other legalentities which engage in such competition (except for membership ofPaweł Zawodny in the Supervisory Board of a small gamedev company, heldwith the Company's permission).

Information regarding the education, qualifications and positionspreviously held by Mr. Jeremiah Cohn and Mr. Paweł Zawodny, along withtheir past job experience, is attached to this report.

Detailed legal basis: § 5 item 5 of the Finance Minister's regulation of29 March 2018 concerning current and periodic information disclosed byissuers of securities and conditions for recognizing as equivalentinformation required under the law of a non-member state (Journal ofLaws of 2018, item 757).
