C&C Group plc ("C&C") announces that all resolutions put to the shareholders at the Extraordinary General Meeting of the Company held on 14 January 2021 were passed. These resolutions are set out in the Notice of the Extraordinary General Meeting ('EGM') which was posted to shareholders on 17 December 2020 and which is available on C&C's website at www.c&cgroupplc.com.

The results of the poll on all resolutions will be available on the Company's website.

C&C confirms that the following resolutions (Resolutions 1, 2 and 3 in the Notice of EGM), which constitute special business, were passed:

-     To approve the migration of the migrating shares to Euroclear Bank's Central Securities Depository. 

-     To amend and adopt the Articles of Association of the Company. 

-     To authorise the Company to take all actions to implement the migration.
