AGM results

C&C Group plc ("C&C") announces that all resolutions put to the shareholders at the Annual General Meeting of the Company held on 5 July 2018 were passed. These resolutions are set out in the Notice of the Annual General Meeting which was posted to shareholders on 6 June 2018 and which is available on C&C's website www.c&cgroupplc.com.

Details of proxies lodged in respect of the Resolutions will also be available on the Company's website.

C&C confirms that the following resolutions (Resolutions 5 (a) and (b), 6, 7, 8, 9 and 10 in the Notice of AGM), which constitute special business, were passed:

-     Receipt and consideration of the Report of the Remuneration Committee on Directors' Remuneration.

-     To receive and consider the Directors' Remuneration Policy.

-     Renewal of the director's authority to allot shares.

-     Renewal of the dis-application of statutory pre-emption rights.

-     Renewal of the dis-application of statutory pre-emption rights in respect of an additional 5% of the issued share capital.

-     Renewal of the authority to make market purchases of the Company's own shares.

-     Renewal of authority to reissue ordinary shares.

In accordance with the Listing Rules, copies of the resolutions passed at the AGM have been forwarded to both the Irish Stock Exchange and the UK's National Storage Mechanism and are available for inspection at the following locations:
