Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 29, 2018 the Compensation Committee of the Board of Directors of Level Brands, Inc. granted Mr. Mark S. Elliott, our Chief Financial Officer and Chief Operating Officer, ten-year options under our 2015 Equity Compensation Plan to purchase an aggregate of 150,000 shares of our common stock at an exercise price of $4.78 per share which are exercisable on a cashless basis as additional compensation. The options vest one-half on the date of grant and one-half on January 1, 2019.
