Caterpillar Inc. Files Proxy Statement

PEORIA, Ill., April 23, 2012 -- Caterpillar Inc. (NYSE: CAT / NYSE Euronext: CATR / LSE: CAT) today filed its definitive proxy statement with the U.S. Securities and Exchange Commission ("SEC") to inform its stockholders that it is holding its 2012 Annual Meeting of Stockholders on June 13, 2012 at the Marriott Riverwalk, 899 Market Street, San Antonio, Texas, 78205 beginning at 8:00 a.m. The items of business are:

  1. Elect as Directors the sixteen nominees identified in the proxy statement, each for a term of one year. 2. Ratify the appointment of PricewaterhouseCoopers LLP as Caterpillar's independent registered public accounting firm for 2012.

  2. Approve, on a non-binding advisory basis, executive compensation.

  3. Amend Caterpillar's Restated Certificate of Incorporation and Bylaws to provide stockholders the right to call special meetings of stockholders.

  4. Amend Caterpillar's Bylaws to enhance and clarify the procedures to be followed by stockholders for submitting proposed items of business at future meetings of stockholders.

  5. Vote on four stockholder proposals described in the proxy statement, if properly presented at the meeting. 7. Conduct any other business properly brought before the meeting or any adjournment or postponement of the meeting.

Stockholders of record at the close of business on April 16, 2012 will be entitled to notice of and to vote at the annual meeting and any adjournment or postponement. Anyone wishing to attend the annual meeting in person must have an admission ticket issued in his or her name. Admission tickets will be issued in accordance with the requirements specified on page 56 of the proxy statement.
