Caterpillar Inc. Files Form 8-K

PEORIA, Ill., Dec. 17, 2012 -- Caterpillar Inc. (NYSE: CAT / NYSE Euronext: CATR / LSE: CTA) informs its stockholders that today, a Form 8-K has been filed with the U.S. Securities and Exchange Commission ("SEC") with respect to the retirement of a member of the Board of Directors.

On December 12, 2012, Mr. Eugene V. Fife announced that he will be retiring from the Board of Directors of Caterpillar Inc. (the "Board") and the Governance Committee of the Board, effective December 31, 2012. Mr. Fife's retirement is the result of his reaching the mandatory retirement age for directors as provided in the Caterpillar Inc. Guidelines on Corporate Governance Issues and not as a result of any disagreement with the company.
