Share Placement to RB Energy Pte Ltd

Shree Minerals Ltd (ASX code: SHH) (“the Company”) is pleased to advise it has entered into an agreement to make a private placement of 13,350,000 new fully paid ordinary shares (Placement Shares) in the capital of the Company, at a fixed price of AUD$0.16 per Share, for a total subscription amount of AUD$2,136,000 (Subscription Amount) to RB Energy Pte Ltd (Investor). The Placement Shares will be issued pursuant to the Company’s placement capacity and accordingly no shareholder approval will be sought.

The Company is also pleased to advise it has entered into an agreement to make a further additional issue of 4,587,500 new fully paid ordinary shares (“Conditional Placement Shares”) in the capital of the Company, at a fixed price of AUD$0.16 per Share, for a total subscription amount of AUD$734,000 (Application Amount) to the Investor. This additional placement will be subject to approval of the Company’s shareholders.

The Placement Shares and the Conditional Placement Shares issued will be issued on the same terms and conditions as the Company’s existing Shares and the funds raised will be used for working capital.

The Company will shortly send the relevant Notice of Meeting to obtain approval to issue the Conditional Placement Shares to the Company’s shareholders.
