SHARE PURCHASE PLAN AND OPTIONS APPLICATION FORM CLOSING AT 5.00PM AEST ON 4 OCTOBER 2011

Pursuant to the terms and conditions of the Gulf Industrials Limited Share Purchase Plan (SPP) dated 21 September 2011 and a prospectus dated 21 September 2011 in relation to the offer of attaching options (Prospectus), Gulf Industrials is offering eligible security holders the opportunity to purchase shares up to a maximum value of A$15,000 per eligible security holder (Shares), subject to a minimum application of A$1,000. Subject to shareholder approval at the General Meeting, successful applicants for shares under the SPP will also be entitled to receive one attaching option exercisable at $0.025 per Share and expiring on 31 December 2012 (Option) for every one Share successfully subscribed for under the SPP, provided that their shareholding as at 7.00pm AEST on the Option Record Date (6 October 2011) is not less than their Shareholding as at 7.00pm AEST on the SPP Record Date (16 August 2011). CHEQUE/MONEY ORDER

CERTIFICATION

Sufficient cleared funds should be held in your account as your acceptance may be rejected if your cheque is dishonoured.

Cheques or bank drafts drawn on overseas banks in Australian or any foreign currency will NOT be accepted. Any such cheques will be returned and the acceptance deemed to be invalid.

LIMITATION ON PARTICIPATION

The maximum subscription limitation of $15,000 will apply even if an eligible Holder has received more than one form (whether in respect of a joint holding or because the eligible Holder has more than one holding under separate Security accounts).

1. Agree to be bound by the Terms of the Constitution of the Company and as set out in the SPP and Prospectus;

2. Agree to accept any lesser number of new Shares and Options than the number of Shares and Options applied for; and

3. (If not a Custodian as defined in ASIC Class Order 09/425) Certify that the amount of Shares and Options subscribed for by me/us pursuant to the SPP does not exceed the maximum amount taking into account the Shares and Options the subject of this application and any other Shares and Options applied for by me/us under the SPP or any other similar arrangement within the 12 months prior to this application including joint and other beneficial interests.

CUSTODIAN CERTIFICATION

If you are a Custodian (as defined in ASIC Class Order 09/425), you must submit a custodian certificate to Gulf Industrials Limited.
