Item 2.02 Results of Operations and Financial Condition

On August 13, 2010, Carver Bancorp, Inc. (the “Company”) issued a press release reporting financial results for the three months ending June 30, 2010, which is the first quarter of the Company’s fiscal year ending March 31, 2011. A copy of the press release is attached as Exhibit 99.1 to this report and incorporated herein by reference. The Company does not intend for this Item 2.02 or Exhibit 99.1 to be deemed “filed” for purposes of Section 18 of the Securities and Exchange Act of 1934 or to be incorporated by reference into filings under the Securities Act of 1933.
