Results of General Meeting

Carr's is pleased to announce that the following resolutions were duly passed at the Company's General Meeting which was held today at 10.00 a.m. at the offices of Ashurst LLP, London Fruit & Wool Exchange, 1 Duval Square, London E1 6PW.

Voting on the Resolutions proposed at the General Meeting was conducted by way of poll. The number of votes for and against the Resolutions put before the General Meeting, as well as the number of votes withheld, were as follows:

The Tender Offer closes at 1.00 p.m. on 19 June 2025. The Company expects to make a further announcement in respect of the results of the Tender Offer on 20 June 2025.

In accordance with the Company's obligations under Listing Rule 6.4.2R, a copy of the Resolutions passed at the General Meeting has been submitted to the National Storage Mechanism and will shortly be available for viewing at https://data.fca.org.uk/#/nsm/nationalstoragemechanism .
